Work that is not already in the software and must be developed or redesigned is billed extra. This fee covers R&D and build work.

1.1. In this contract the person or organisation named in the customer details is the CUSTOMER, and the producer and hosting company is Hero Invest Ltd.

1.2. Changes to company name, business address or authorised signatories must be notified within 7 business days. Notices sent to the previous name or address remain valid if notice is late.

2. Subject and purpose

This contract covers rental of the RideBooking software that lets the CUSTOMER sell and take bookings at a designated internet address, plus hosting, setup and after-sales limits. Once in force, dealings follow this contract and the laws of England and Wales. Partial invalidity does not affect the rest. Hero Invest Ltd. may change package contents when technically required.

3. Rental terms

3.1. RideBooking is rented as a whole, with all functions, for a set term. The CUSTOMER used the free trial before renting and accepts the rental after that trial.

3.2. Rental starts on the date the contract is completed and signed; the term is 1 month. Interruptions caused by the customer do not extend the term. The CUSTOMER must fix faults on their own devices and software.

3.3. Without written termination at least 5 days before the term ends, the contract renews for 1 month on the same terms. If the fee is unpaid within 7 business days, Hero Invest Ltd. may terminate unilaterally without notice.

3.4. Hero Invest Ltd. keeps 30-day backups of CUSTOMER content. If rental ends and the customer requests in writing, a last XML or Excel copy is given within 7 days; otherwise content is deleted after 7 days.

3.5. The CUSTOMER may not rent, assign or share these services with third parties without prior written consent of Hero Invest Ltd. (except group companies). Breach allows unilateral termination without refund.

3.6. The CUSTOMER allows Hero Invest Ltd. to state publicly that the CUSTOMER is a client, to use the name and logo in references, and to keep the Hero Invest Ltd. logo, link and a short service note fixed at the bottom of the site.

4. Confidentiality

4.1–4.3. Hero Invest Ltd. undertakes confidentiality of customer data. The software is hosted on Hero Invest Ltd. servers; source code and database stay under Hero Invest Ltd. control. Card data is not stored on the servers; legal responsibility for financial and personal data lies with the CUSTOMER. 3D Secure is recommended.

4.4. Hero Invest Ltd. recommends 3D Secure against card fraud. The setup is ready at major banks; there is no technical guarantee for every bank. A suspicious payment should be confirmed with the bank before the service is given. Hero Invest Ltd. is not liable where a customer who does not use 3D Secure fails to confirm the card.

4.5. The parties keep confidential the ideas, information, content and commercial documents shared in writing, orally or electronically. They do not use, distribute or pass them to third parties outside this contract, and they take the strongest practical measures against unauthorised use.

4.6. Information already public, information that must be disclosed under the law or at a public authority’s request, and information a third party obtained independently before the duty of confidentiality, is an exception to this clause.

5. Force majeure

Natural disaster, fire, war, strike, national mobilisation and ICT outages beyond the parties’ control are force majeure. Obligations are suspended; after 30 days either party may terminate without damages. Accrued rights before termination remain.

6. Governing law

6.1. Claims and debts arising after this contract takes effect are kept as a mutual current account in the official books. This text also stands as a current-account agreement. The laws of England and Wales apply where this contract is silent.

6.2–6.3. The parties follow commercial law, ethics and fair dealing. The laws of England and Wales apply, and the courts of London have jurisdiction. A foreign seat of the CUSTOMER, or a domain allocated abroad, does not change that.

6.4. The parties accept the laws of England and Wales on intellectual works, trademarks, patents and criminal liability, and other related legislation.

6.5. The parties are subject to the laws of England and Wales. Later changes in the law must be observed. They do not undo the validity of this contract.

6.6. Hero Invest Ltd. is not responsible for sections and content the user must fill and manage. The CUSTOMER is responsible for content on the domain, for the products and services sold, and for the related banking operations.

6.7. The CUSTOMER is responsible for unlawful content. Hero Invest Ltd. has no duty to review content. Under the laws of England and Wales, unlawful content may be removed without notice and the site may be closed if required. The CUSTOMER cannot claim compensation for removed content. Content is put back if a legal document shows it may stay online.

6.8. For trademark and patent breaches, Hero Invest Ltd. may take the same removal and shutdown measures.

6.9. The CUSTOMER may add lawful content and sell lawful services. Hero Invest Ltd. is not liable for the sale of prohibited or harmful products and may take the site partly or fully offline.

6.10. Products and services contrary to the law or to the principles of Hero Invest Ltd. may not be sold. If such content or a sale is found, Hero Invest Ltd. ends the service with no refund.

6.11. A difference between the legal domain owner and the person who signs does not remove the CUSTOMER’s liability. If the signatory lacks authority, that person is also personally liable to Hero Invest Ltd.

6.12. If the CUSTOMER harms the server or other customers, sends spam, or is hit by SYN, DDoS, HTTP GET or similar attacks, even where a third party causes the harm, Hero Invest Ltd. may deduct the usage fee and at least 25% of the contract amount, refund the balance, and end the service in part or in full.

6.13. For cyber offences, the person who commits the act is responsible. Hero Invest Ltd. is not liable for harm from third-party cyber offences unless a technical fault or a breach of required security measures is established. Such interruptions are not a failure to perform the contract.

6.14. Hero Invest Ltd. may make temporary interruptions for maintenance and updates, not exceeding 72 hours in a monthly term. The CUSTOMER accepts this in advance. Work is done between 00:00 and 08:00 when technically possible.

6.15. Hero Invest Ltd. may change package and service content without customer approval because of technical needs, market research, sales policy or research results.

6.16. A CUSTOMER who pays by card is responsible for the accuracy and lawfulness of the card and personal details. Card and transfer operations belong to the CUSTOMER. If collection fails or is disputed, Hero Invest Ltd. suspends the service until a valid payment is made; the suspension does not break the contract.

6.17. The transaction is commercial and subject to the commercial law of England and Wales. Consumer law does not apply. There is therefore no cancellation, return or refund of the fee collected.

7. Rental and renewal fee

The initial setup fee is the amount in the table. The monthly fee follows the selected modules. Payment may be cash, transfer or card. On automatic renewal Hero Invest Ltd. may collect later months with the same form.

8. RideBooking core features

8.1–8.2. Online booking is provided for equestrian businesses. Signup is by phone and email; bookings use assigned horses and trainers. Notices go by SMS or the mobile app. A 10,000 SMS pack is set at first setup. Email uses Gmail SMTP. Customers, trainers and horses are managed in the admin panel; backups can be downloaded.

9. Extra paid services not in the pack

9.1 The domain is renewed yearly. 9.2 App Store and Google Play listing is an annual rent. 9.3 Gmail SMTP renews monthly. 9.4 The 10,000 SMS pack is inside the first setup fee.

10. Acceptance and entry into force

This contract enters into force in 2 copies on the date on the first page when the CUSTOMER completes and signs the RideBooking contract, and binds both parties. Disputes from performance fall to the courts and enforcement offices of London (England and Wales).
